1. Agreement to Terms

By accessing or using DataChonk ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

DataChonk is an AI-powered platform that assists with dbt (data build tool) analytics engineering. Our Service includes code generation, documentation assistance, testing recommendations, and other features designed to help analytics engineers build better data pipelines. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may terminate your account at any time through the account settings page.

4. Acceptable Use

You agree not to use the Service to:

• Infringe on intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to our systems

5. Your Data

5.1 Ownership

You retain all rights to the data you input into the Service, including database schemas, configurations, and generated dbt models. DataChonk does not claim ownership of your data.

5.2 License to DataChonk

By using the Service, you grant DataChonk a limited, non-exclusive license to process your data solely for the purpose of providing the Service. This license terminates when you delete your data or account.

5.3 Data Security

6. AI-Generated Content

The Service uses artificial intelligence to generate dbt models, tests, and documentation. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and validating all generated content before use in production environments. DataChonk is not liable for any damages resulting from the use of AI-generated content.

7. Subscription and Payments

7.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for all fees incurred.

7.2 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.

7.3 Price Changes

We reserve the right to modify pricing at any time. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by DataChonk and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATACHONK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless DataChonk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
